General Terms and Conditions – Kiedan Design

1. Applicability
- These terms apply to all quotations, orders and deliveries via kiedan.eu by Kiedan Design
- Business customers only (B2B). No sales to private individuals/consumers.
- Deviations are only valid if confirmed in writing by Kiedan Design.
2. Offers and Agreement
- All prices and offers are without obligation and exclusive of VAT, unless otherwise stated.
- An agreement is concluded after written/email confirmation of the order by Kiedan Design.
- Kiedan Design may refuse orders without stating reasons.
3. Prices and Payment
- Prices in euros, exclusive of VAT and shipping costs (unless otherwise stated).
- Payment term: within 14 days of invoice date, unless otherwise agreed.
- In case of late payment: statutory commercial interest and (extra)judicial collection costs will be due.
4. Delivery and Risk
- Delivery: ex warehouse, unless otherwise agreed in writing.
- Delivery times are indicative and do not entitle the customer to cancellation or compensation if exceeded.
- Risk of loss/damage transfers to the customer upon dispatch/handing over to the carrier.
5. Retention of Title
- Delivered products remain the property of Kiedan Design until full payment of all obligations.
- As long as ownership has not passed, the customer is not allowed to pledge or encumber the goods.
6. Complaints and Warranty
- Check products immediately upon receipt; report visible defects in writing within 7 days.
- Only manufacturer’s warranty, insofar as provided by the manufacturer.
- Other warranties are excluded, except in cases of intent or gross negligence by Kiedan Design.
7. Liability
- Liability is limited to the invoice amount of the relevant delivery.
- No liability for consequential damages, loss of profit or other indirect damages.
8. Force Majeure
- In the event of force majeure, Kiedan Design may suspend delivery or (partially) dissolve the agreement.
- Examples: supplier failures, transport issues, fire, strikes, government measures.
9. Applicable Law and Jurisdiction
- Dutch law applies.
